01Introduction
These Terms of Service (“Terms”) govern your use of the digitopialabs.com website and any services purchased from Digitopia Design Ltd (trading as Digitopia Labs, referred to as “we,” “us,” or “Digitopia Labs” throughout).
By engaging us for paid work, you agree to these Terms. If you don't agree, don't engage us - we'll happily refer you to alternative providers.
These Terms apply to all standard engagements. For larger contracts (typically over £10,000) we may sign a separate Master Services Agreement or similar contract, in which case that document takes precedence over these Terms.
These Terms apply to business customers. Where you contract with us as a consumer, your statutory rights under the Consumer Rights Act 2015 are not affected.
02The services
We provide AI infrastructure services for businesses. Our current product range includes:
- AI Audit - diagnostic review of existing AI setups (£397)
- AI Blueprint - complete AI workspace build (£1,497)
- Claude Skills - custom Claude capability development (£497 per skill)
- AI Product Sprint - 4-week prototype build (from £2,500)
- AI Operations retainer - ongoing strategic AI work (from £320/month)
- Content Operations retainer - ongoing content production (from £180/month)
Each product has a dedicated page on this site with current scope, deliverables, timeline, and price. The product page at the time of purchase forms part of these Terms.
We reserve the right to change our product range, pricing, and scope. Existing engagements are honoured at the terms agreed at point of purchase.
03Engagement and pricing
Pricing displayed on the site is the standard published price. Prices are exclusive of UK VAT, which is added where applicable.
For each engagement:
- Discovery call - typically a 15-minute video call to confirm fit
- Written proposal - sent within 2 working days confirming scope, deliverables, timeline, and price
- Engagement confirmation - your acceptance of the proposal (by email is sufficient for engagements up to £5,000; written agreement required above that)
- Invoice - issued on engagement confirmation
Once an engagement is confirmed and the upfront invoice paid, the engagement is considered live. Cancellation before delivery completion is covered in Section 10 (Termination).
04Payment terms
All prices in GBP, exclusive of VAT.
One-off products
- AI Audit and Claude Skills: paid 100% upfront on engagement
- AI Blueprint and AI Product Sprint: paid 50% upfront on engagement, 50% on handover
Retainers
Invoiced monthly in advance. Payment due before work begins each month. First month invoiced on engagement confirmation.
Payment methods
Bank transfer (BACS) or Stripe (credit/debit card).
Payment terms
Net 14 from invoice date for new clients. Net 30 available for corporate buyers on request.
Late payment
Invoices not paid within 30 days of issue accrue interest at the statutory rate (Bank of England base rate + 8%) under the Late Payment of Commercial Debts (Interest) Act 1998.
Currency and tax
All transactions are in GBP. UK VAT is added where applicable. Clients outside the UK are responsible for any applicable local taxes.
05Client responsibilities
For us to deliver effective work, we need certain things from you:
- Timely material - for Blueprint engagements, we need source content (existing brand assets, written material, audience information) within agreed timeframes. Delays in providing material may push delivery dates.
- Decision-making access - the engagement contact must have authority to make decisions about scope, voice, audience, and approval. If approval requires a wider stakeholder group, please tell us upfront.
- Honest information - accurate information about your business, audience, competitors, and goals. Engagements built on inaccurate input produce mediocre output.
- Reasonable feedback turnaround - for engagements with feedback cycles (Blueprint, Sprint), feedback within 3 working days helps us hit delivery dates.
If you can't meet these reasonably, we'll have an honest conversation about whether to adjust timing or scope. We won't keep delivering against agreed timelines if the foundation work hasn't happened.
06Deliverables and ownership
Ownership of deliverables. Subject to full payment, you own:
- All
.mdfiles delivered as part of any product engagement (brand voice profiles, business profiles, personas, prompt libraries, opportunity maps, etc.) - All code produced as part of an AI Product Sprint (in a repository you specify)
- All Claude Skills built for you (SKILL.md format files)
- Any PDF reports we generate for you (Competitor Intel Reports, Audit Reports)
Methodology and templates.We retain ownership of our methodologies, templates, prompt frameworks, and underlying processes used to produce your deliverables. You're licensed to use the outputs; we retain the methods.
Use of work in case studies and marketing.With your explicit written permission, we may reference your engagement in marketing materials (case studies, blog posts, social media). We don't reference engagements without permission. You can revoke permission at any time for future use; published case studies remain published unless we mutually agree to remove.
Third-party content. Any AI-generated content (text, images, code) produced during an engagement is subject to the terms of the underlying AI provider (currently Anthropic for Claude). You inherit those terms when you accept the deliverables.
07Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of an engagement, including business strategy, financial information, client lists, technical implementations, and any other proprietary material.
This obligation continues for 3 years after the engagement ends.
NDAs (mutual or one-way) are signed on request for corporate engagements. For solo and small-business engagements, these Terms typically provide sufficient confidentiality coverage; an NDA can be added if you'd prefer.
08Warranties
What we warrant
- We will perform services with reasonable care and skill expected of professionals in our field
- Deliverables will substantially meet the description and scope agreed in the proposal
- We will use commercially reasonable efforts to meet agreed delivery dates
What we don't warrant
- That AI-generated content will be free from errors (AI output requires review - that's why we include handover sessions and ongoing retainers)
- That specific business outcomes (revenue, content reach, conversions) will result from using our deliverables (these depend on factors outside our control)
- That third-party tools we use (Claude, Cal.com, Stripe, etc.) will be continuously available
If you believe a deliverable doesn't meet the agreed scope, contact us within 30 days of delivery. We'll work with you to address the gap.
09Liability
To the maximum extent permitted by law:
- Cap on liability. Our total liability to you in respect of any engagement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the total fees paid by you to us in the 12 months preceding the event giving rise to the claim.
- Excluded losses. We are not liable for loss of profits, loss of revenue, loss of business opportunity, loss of anticipated savings, loss of goodwill, loss of data, or any indirect, special, or consequential loss.
- What we don't exclude. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded under English law.
Indemnification. You indemnify us against any claims arising from your use of deliverables in a way that breaches third-party rights (copyright, trademark, defamation, etc.) - provided we used the source material you provided in good faith.
10Termination
One-off engagements (Audit, Blueprint, Skills, Sprint)
- Cancellation before delivery begins. Full refund of any payments made, minus reasonable costs already incurred (typically £200-500 for discovery work).
- Cancellation mid-engagement. No refund of upfront payment. Work in progress will be paused; we'll provide what's been completed to that point.
- Cancellation after delivery complete. Not applicable - the engagement is complete.
Retainers (AI Operations, Content Operations)
- Either party may cancel with 1 month's written notice. Notice runs from the date the notice is received.
- Final month is invoiced and worked normally.
- Hours rollover - unused hours from previous months are forfeited on cancellation.
Termination by us
We may terminate any engagement immediately if you breach these Terms (including non-payment of invoices within 30 days of due date, abusive behaviour, or use of deliverables for unlawful purposes).
11Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
We will attempt to resolve any dispute through good-faith conversation before resorting to formal proceedings. Most issues are best resolved by talking.
